Sidang Komisi Pengawas Persaingan Usaha (KPPU) menjatuhkan sanksi denda kepada PT. Hok Tong sebesar Rp2 miliar (ist)

 

INVOCAVIT.COM, PALEMBANG – Komisi Pengawas Persaingan Usaha (KPPU) menjatuhkan sanksi denda kepada PT. Hok Tong sebesar Rp2 miliar.

 

 

Aanksi itu diberikan atas keterlambatan pemberitahuan (notifikasi) transaksi akuisisi yang dilakukannya atas tiga perusahaan, yakni PT Pulau Bintan Djaya, PT Sumber Djantin dan PT Sumber Alam.

 

 

Sanksi tersebut dibacakan dalam Sidang Majelis Pembacaan Putusan atas Perkara No.11/KPPU-M/2022 tentang Dugaan Keterlambatan Pemberitahuan Pengambilalihan Saham PT Pulau Bintan Djaya, PT Sumber Djantin, dan PT Sumber Alam oleh PT Hok Tong, hari ini di Palembang, Sumatera Selatan.

 

 

Perkara ini berawal dari penyelidikan terhadap keterlambatan pemberitahuan pengambilalihan saham yang dilakukan PT. Hok Tong (Terlapor) atas sebagian besar saham beberapa perusahaan.

 

 

Pengambilalihan atas 80% saham PT. Pulau Bintan Djaya dilaksanakan pada tanggal 27 Februari 2018, serta pengambilalihan 99% saham PT Sumber Djantin dan 99,01% PT Sumber Alam dilaksanakan pada tanggal 20 April 2018. Berbagai transaksi tersebut menyebabkan terjadinya perpindahan kendali atas ketiga perusahaan tersebut kepada Terlapor.

 

 

Untuk diketahui, PT Hok Tong merupakan manufaktur produk karet, khususnya produsen crumb rubber (karet remah) dan eksportir karet SIR (Standard Indonesia Rubber) yang berpusat di Palembang, Sumatera Selatan. Sementara berbagai perusahaan yang diakuisisi juga bergerak di bidang pengolahan dan produksi produk karet (termasuk karet remah).

 

 

Majelis Komisi berpendapat bahwa pemberitahuan pengambilalihan saham ketiga perusahaan tersebut oleh terlapor kepada Komisi seharusnya dilakukan paling lambat pada tanggal 13 April 2018 dan 25 Juni 2018 namun baru disampaikan oleh terlapor pada tanggal 2 Agustus 2021.

 

 

Hal ini membuktikan pemberitahuan yang dilakukan oleh terlapor telah lebih dari 30  hari sejak tanggal telah berlaku efektif secara yuridis pengambilalihan saham.

 

 

Berdasarkan fakta tersebut, Majelis Komisi memutus PT. Hok Tong terbukti secara sah dan meyakinkan melanggar Pasal 29 UU No. 5 Tahun 1999 juncto Pasal 5 PP No. 57 Tahun 2010, dan menjatuhkan sanksi denda sebesar Rp2 miliar yang harus disetorkan ke Kas Negara sebagai setoran pendapatan denda pelanggaran di bidang persaingan usaha.

 

 

Pembayaran denda tersebut wajib dibayarkan selambat- lambatnya 30 (tiga puluh) hari sejak Putusan memiliki kekuatan hukum tetap (inkracht). (Rel).
